Terms of Service

1. Acceptance of Terms

By accessing or using Smart BI Studio Pro (“the Service”) operated by Amba Panel India Private Limited (“Company”, “we”, “us”), you agree to be bound by these Terms of Service. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these terms, do not use the Service.

2. Description of Service

Smart BI Studio Pro is a cloud-based, multi-tenant business intelligence and analytics platform that enables users to connect data sources, build dashboards, track KPIs, and generate AI-powered insights. The Service is provided on a subscription basis.

3. Account Registration

• You must provide accurate, current, and complete registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorised use of your account.
• Each account must represent a single legal entity. One account per organisation.

4. Subscription and Billing

4.1 Plans: The Service is offered under Starter, Growth, Business, and Enterprise plans as detailed on our Pricing page. Plan features and limits are subject to change with 30 days' notice.

4.2 Billing: We use manual billing. We do not charge payment cards. You will receive an invoice at the start of each subscription period and must pay within the due date specified on the invoice.

4.3 Payment methods: UPI, NEFT/RTGS bank transfer, IMPS, and cheque. All prices are in Indian Rupees (INR) and inclusive of applicable GST.

4.4 Late payment: Accounts with overdue invoices will be placed in read-only mode after a 14-day grace period. Data is retained for 90 days after suspension before deletion.

4.5 Refunds: We do not offer refunds for partial subscription periods. If you cancel during a billing period, you retain access until the period end.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable Indian or international laws or regulations
• Upload, store, or transmit malware, viruses, or malicious code
• Attempt to gain unauthorised access to other users' data or our systems
• Engage in any activity that disrupts or degrades Service performance for other users
• Use the Service to store, process, or transmit illegal content
• Reverse-engineer, decompile, or attempt to extract our source code
• Resell or sublicense the Service without our written permission

6. Data Ownership

You retain full ownership of all data you upload to or create within the Service (“Customer Data”). We claim no intellectual property rights over your Customer Data. You grant us a limited, non-exclusive licence to store, process, and display your Customer Data solely as necessary to provide the Service to you.

7. Intellectual Property

The Service, including its software, design, features, documentation, and all related content, is owned by Amba Panel India Private Limited and is protected by Indian and international intellectual property laws. These Terms do not transfer any intellectual property rights to you. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

8. Service Availability

We target 99.5% monthly uptime. Scheduled maintenance will be communicated with at least 48 hours' notice. We are not responsible for downtime caused by factors outside our reasonable control (internet outages, cloud provider incidents, force majeure events). We do not provide SLA credits on the Starter plan; Business and Enterprise plans include SLA guarantees as specified in the order form.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Our total aggregate liability to you for any claim arising from these Terms shall not exceed the amounts paid by you in the 12 months preceding the claim.

10. Termination

Either party may terminate the subscription with 30 days' written notice. We may terminate immediately if you breach these Terms. Upon termination, your access to the Service will cease. We will retain your Customer Data for 90 days after termination, after which it will be permanently deleted. You may request an export of your data at any time.

11. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of India. We encourage resolving disputes through good-faith negotiation before resorting to legal action.

12. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email and/or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
